Sponsor Agreement

Applies to organizations that post RFPs and engage vendors through MediChain Global (pharma, biotech, hospitals, research institutes, manufacturers, and similar).

1Parties & Relationship to the Terms of Use

This Agreement is between you (the “Sponsor”) and MediChain Global (the “Platform”) and supplements the Platform Terms of Use, which apply to all users. MediChain Global is a technology intermediary; it does not perform, supervise, or take scientific responsibility for the work you procure. In the event of a conflict between this Agreement and the Terms of Use on a Sponsor-specific matter, this Agreement controls.

2RFP Posting

  • You will provide complete, accurate, and current scope-of-work information, including objectives, timelines, deliverables, and any regulatory requirements applicable to the engagement.
  • You may set confidentiality (standard, high, or very high) and require NDA acceptance from bidders before they can view full RFP details.
  • You may set budget visibility (open, hidden, or range) at your discretion.
  • Risk-flagging and scope-completeness checks (per the platform's standard operating procedures) apply before publication; the platform may request clarification before an RFP goes live.
  • You may amend or withdraw an RFP before any award is made; amendments after bids are received will be communicated to all current bidders.

3Vendor Selection

  • You may shortlist bidders, request clarifications, request facility audits, and award the RFP to one or more bidders.
  • Bid scorecards are generated automatically by the platform to assist evaluation; final selection — and any due diligence beyond the platform's verification checks — is your sole responsibility.
  • You represent that any decision to award is made in good faith and not based on any unlawful discriminatory criterion.

4Contract Formation & Electronic Signature

Upon award acceptance, the platform generates a Contract reflecting the agreed scope, value, milestones, commission rate, IP ownership, confidentiality terms, penalties, and termination conditions. You agree to review these terms carefully before signing. Contracts are executed via the platform's three-party electronic signature flow (Sponsor → Vendor → Platform), as described in Section 7 of the Terms of Use. Once all parties have signed, the Contract becomes active, a PDF Agreement Document is generated as the proof-of-record, and you may download it at any time from your dashboard.

5Escrow Funding

Upon Contract execution, you will fund escrow (in full, or per milestone, as set out in the Contract) before the Vendor begins or continues work, in accordance with the Escrow Agreement. Funds released from escrow to the Vendor cannot be reclaimed except via the dispute-resolution process described in the Dispute Resolution Clause.

6Milestone Review & Approval

  • You will review submitted deliverables within a reasonable time (target: 7 business days from submission).
  • You may approve a milestone, request revision within the original agreed scope, or reject it with a documented reason.
  • Approving a milestone automatically triggers release of the corresponding escrow tranche to the Vendor, net of platform commission and applicable taxes.
  • If you neither approve, request revision, nor reject within the platform's stated review window, the platform may apply its standard escalation procedure, which can include automatic escalation to admin review.

7Confidentiality, Data & IP Ownership

Data and intellectual-property ownership for each engagement (sponsor / vendor / joint) are set out in the Contract. The Platform claims no ownership of any such data or IP and accesses it solely as a hosting intermediary, for the purposes of operating the platform (including verification and dispute review by admins). You agree to handle any confidential information received from a Vendor through the platform in accordance with the confidentiality terms of the Contract and Section 9 of the Terms of Use.

8Platform Fees

A platform commission is deducted from each escrow release (the rate is shown on the Contract before signing and is typically in the range disclosed at the time of contracting). Applicable taxes are deducted in accordance with the relevant jurisdiction. Fees are non-refundable once a release has been made, except where reversed pursuant to a dispute resolution outcome.

9Ratings & Feedback

Upon project closure you may rate the Vendor across quality, timeliness, compliance, and communication. Ratings feed into the platform-wide trust-score and tiering system. You agree to provide ratings in good faith and based on your actual experience with the engagement.

10Representations & Warranties

You represent and warrant that:

  • your organization is duly registered, in good standing, and authorized to procure the services described in any RFP you post;
  • the scope of work you post complies with applicable regulations of the relevant regulatory authorities (DCGI, USFDA, EMA, or equivalent) governing your project;
  • any data, specifications, or materials you provide do not infringe the intellectual-property or confidentiality rights of any third party; and
  • the person signing any Contract on your behalf has authority to bind your organization.

11Compliance Obligations

You retain sole responsibility for the regulatory compliance of your project, including obtaining any approvals, permissions, or registrations required for the work to be performed. The Platform does not assume regulatory accountability for your project and does not review RFPs or Contracts for substantive regulatory compliance beyond the standard risk-flagging checks described in Section 2.

12Indemnification

In addition to the indemnification obligations in the Terms of Use, you agree to indemnify and hold harmless MediChain Global from claims arising out of: (a) the content or accuracy of any RFP you post; (b) your selection of, or instructions to, a Vendor; and (c) your use of any deliverable or work product received under a Contract.

13Term & Termination

This Agreement remains in effect for as long as your organization holds an active Sponsor account and applies to every RFP and Contract you create. Termination of your account does not affect the validity of, or your obligations under, any Contract already executed, including completion of escrow funding and milestone review obligations for active engagements.

14Disputes

Any dispute relating to a Contract will be handled under the Dispute Resolution Clause and resolved by Platform admins; escrow funds linked to a disputed Contract will be placed on hold during review.
